DSCR I43E: INDEFINITE DELIVERY PURCHASE ORDERS (IDPOS) WITH BASE PERIOD EXCEEDING ONE YEAR

AND                  ORDERS WITH BASE EXCEEDING

    The anticipated duration of this IDPO is ________ or until the 
dollar threshold stated in Clause 52.213-9003 (Sec I) is reached, 
whichever occurs first.  The contract is bilateral for one year 
and the contractor is bound to perform on all delivery orders 
received during the first year's ordering period (one year from 
the date specified in FAR Clause 52.216-18 (Sec I) as the first date 
orders may be issued under this contract).  All subsequent contract 
years are unilateral.  After the first year, the Government may 
withdraw or the Contractor may request cancellation of the IDPO 
at no cost or liability to either party.

         (a)  Request for cancellation must be submitted in 
writing to the contracting officer.  Once the cancellation request 
has been acknowledged by the contract officer, the contractor will 
not be required to perform any subsequent delivery orders.  Unless 
a cancellation is requested, the Contractor will be expected to 
perform for the duration of the ordering period stated above.

         (b)  Cancellation of this IDPO pursuant to this clause 
will not excuse the contractor from performing any order(s) issued 
during its effective term.
